This sets out the terms and conditions under which you may use the services of Alpha DataPros in your transactions with a merchant accredited with Alpha DataPros. Please read the following terms and conditions carefully.

By clicking on the “I AGREE” button you acknowledge and accept the processes and methods by which Alpha DataPros will render its services including the terms and conditions provided herein. Alpha DataPros has the sole prerogative to deny you its services any time and for whatever cause or reason.

You hereby confirm, consent and acknowledge, that:

• You executed this Agreement and that you are at least 18 years old and has legal authority to enter in this service agreement.
• All information you will provide is true and correct. Alpha DataPros will rely on the information you provided and will assume that such information came from You.
• The services provided by Alpha DataPros are computer network-based services, which may be subject to outages, interruptions, attacks by third parties and delay occurrences.
• You may be denied service if you are in default in the payment of any fees or charges of Alpha DataPros.
• Alpha DataPros may record any customer service telephone conversations with you at any time, without need of any prior notice to you.
• Trademarks, copyrights and other intellectual properties in the website are proprietary and exclusively owned by Alpha DataPros and you cannot copy or use the same without any prior written authority of Alpha DataPros.

Your Responsibilities

1. Provide a username and password to enable you to access the gateway and use the services of Alpha DataPros. The username and password must be maintained with the strictest confidentiality and must not be shared with any third party regardless of relation or affiliation. You will be solely responsible in securing your password, username or any other access.
2. Comply with all instructions and notices sent by Alpha DataPros on all matters including security of your access information.
3. Immediately inform Alpha DataPros of any change in the information you supplied to Alpha DataPros.
4. Warrant that the server/electronic equipment/facilities you use are secured from breach or intrusion by unauthorized third parties. You will immediately notify Alpha DataPros if your server/electronic equipment/facilities are system had been compromised, hacked or breached by unauthorized third-parties and take all necessary precautions to prevent a recurrence such breaches in the future.
5. To be solely responsible for compiling and retaining permanent records of your transactions for your reference. Alpha DataPros does not assume any obligation to store, retain, report or otherwise provide any copies of or access to any records of your transactions processed by Alpha DataPros.

Fees

The fees due to Alpha DataPros are set forth in the applicable fee schedule of your desired service, which is hereby incorporated into the terms and conditions of this agreement by reference.

Failure to pay on due date any fees or charges due to Alpha DataPros will be subject to a late payment fee, in the amount set forth in the fee schedule. If you have not paid all amounts due to Alpha DataPros before the last day of the month in which they were due, Alpha DataPros may suspend or terminate its services.

Disputes

Alpha DataPros will promptly investigate any dispute in your transaction. If the dispute is resolved in your favor, your will be refunded. All disputes must be in writing (email or paper mail) sent within fifteen (15) days of the date of the transaction.

No Warranty as to Third-Party Products and Services

Alpha DataPros makes no representation, warranty, or guarantee whatsoever in relation to third-party products and services including those sold by accredited merchants of Alpha DataPros. Your use of third-party products and services is at your own risk. Alpha DataPros assumes no warranty and expressly disclaims any liability for claims of loss and/or fraud incurred resulting from the use of or conclusions drawn from any third-party product or service, regardless of whether or not Alpha DataPros was a referral agent for such product or service.
